Terms of Use – VigilKids

These Terms of Use (the “Agreement”) govern your access to and use of VigilKids, including its website, software applications, mobile apps, and associated features and services (collectively referred to as the “Services”), provided by VigilKids (“we”, “us”, or “our”).

By accessing, downloading, installing, or otherwise using any part of the Services, you agree to comply with and be bound by this Agreement. If you do not accept the full terms of this Agreement, you are not permitted to use the Services.

This Agreement constitutes a legally binding contract between you (“User”) and VigilKids. In addition to these Terms of Use, your use of the Services is also subject to our Privacy Policy, End User License Agreement (EULA), Refund Policy, and any other policies posted on our website, all of which are incorporated into this Agreement by reference.

We may update or revise these Terms at any time. Continued use of the Services after changes are posted constitutes your acceptance of the updated terms.

Unless otherwise defined in context, the following terms shall have the meanings assigned below:

• Services: All functionalities and content provided by VigilKids, including but not limited to mobile apps, dashboards, online panels, and technical support.
• Software: The proprietary monitoring application developed by VigilKids that is installed on a Target Device.
• User: The person who creates an account and/or uses the Services, typically a parent or legal guardian.
• Target Device: A smartphone, tablet, or similar device monitored through the Software.
• Account: The user profile created on the VigilKids platform for managing Services and Subscription.
• Subscription: A paid plan granting access to the Software for a fixed time period with specific features enabled.
• Personal Data: Any data that may identify a natural person, including name, contact details, device identifiers, IP address, and monitored content.
• Lawful Access: Possession of the Target Device or documented consent from the device's owner to install and use the Software.
• Minor: A person under the age of 18, or such other age as defined by local legislation in the User's jurisdiction.

To access or use the VigilKids Services, you must meet all of the following conditions:

1. Minimum Age: You must be at least 18 years of age, or the legal age of majority in your country. By registering or using the Services, you confirm that you meet this requirement.
2. Legal Authority over the Target Device: You must:
   • Be the owner of the Target Device or
   • Have received explicit legal permission from the device's owner (e.g., your minor child or ward) to monitor and manage that device using the VigilKids Software.
3. Permissible Use Only: The Software is designed exclusively for parental control purposes or to protect individuals under your legal supervision. You may not use the Software:
   • To monitor devices without ownership or legal authority;
   • To intercept data unlawfully or violate the privacy rights of others;
   • In any jurisdiction where such use is prohibited.
4. Responsibility for Legal Compliance: It is your sole responsibility to review and comply with all applicable local, national, and international laws. VigilKids is not responsible for your misuse of the Services.
5. Consequences of Misuse: Unauthorized installation or use of the Software may lead to account termination and/or disclosure of relevant user information to law enforcement authorities, where required by law.

Subject to the terms of this Agreement and the End User License Agreement (EULA) , we grant you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the VigilKids Software on a single Target Device that you own or are legally authorized to monitor.

You may not:

• Install or use the Software on any device that you do not own or have lawful control over;
• Distribute, sell, sublicense, lease, or rent the Software to third parties;
• Modify, reverse-engineer, decompile, disassemble, or create derivative works of the Software;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services, other user accounts, or associated networks;
• Use the Software in violation of any applicable law or regulation.

Any unauthorized use of the Software will result in immediate termination of your license and may lead to legal consequences under applicable laws.

You are solely responsible for verifying that your use of the Software complies with all local laws, especially regarding monitoring, consent, and digital privacy. We do not endorse or permit any use of the Software that violates applicable surveillance or privacy laws in your jurisdiction.

Access to the full features of VigilKids requires an active Subscription. By purchasing a Subscription, you agree to pay all fees and charges associated with the plan you selected, as outlined on our Pricing Page .

• You may choose from multiple subscription durations (e.g., 1-month, 3-month, 6-month, or 12-month plans).
• Each Subscription covers one Target Device, unless otherwise specified in the Subscription plan.
• Your Subscription will automatically renew at the end of each term unless you cancel auto-renewal in your Account settings at least 24 hours before the current period ends.
• Renewal charges will be made using the original payment method unless updated by you.
• If you purchased through a third-party platform or reseller, their billing terms may apply.

• We use a secure third-party Payment Provider to process payments. Your billing data will be handled according to our Privacy Policy and the Payment Provider's own terms.
• You are responsible for maintaining accurate payment and contact information in your Account.
• In the case of insufficient funds or failed transactions, we may retry the charge multiple times or apply limited-access billing (e.g., prorated access based on available funds).

For additional paid services (such as remote setup or premium support), pricing will be clearly indicated at the time of checkout.

If you believe there has been a billing error, you must contact us within 14 days via Support Email.

By using the VigilKids Services, you agree to the following responsibilities:

• Lawful Use: You will only install the Software on devices you are legally authorized to monitor, and only for lawful purposes (e.g., parental control or employee supervision where permitted).
• Account Security: You will maintain the confidentiality of your login credentials and will not share access with any unauthorized individuals. You are responsible for all activity that occurs under your Account.
• Accuracy of Information: All information you provide during account creation and use must be truthful, accurate, and kept up to date.
• Compliance with Instructions: You will follow all installation, configuration, and update instructions provided by us through the website or Control Panel.
• Monitoring Consent: You agree that you are solely responsible for obtaining any required consent from the device owner or user where such consent is legally mandated.
• Restricted Use: You will not use the Services to harass, abuse, stalk, or spy on others. Use of VigilKids to invade another's privacy without their knowledge or legal justification is strictly prohibited.

Violation of any of these responsibilities may result in the suspension or permanent termination of your access to the Services and potential legal consequences.

To properly install and use the VigilKids Software on a Target Device, the following technical and access requirements must be met:

You must have unrestricted physical access to the Target Device. This includes:

• Full possession of the device during installation;
• Knowledge of any screen lock codes or passwords;
• The ability to disable or configure any security or antivirus software that may interfere with the installation or functioning of the Software.

The Software is compatible with most modern iOS and Android operating systems. However, some features may be limited depending on the device model, OS version, or device permissions. You must refer to our Compatibility Policy before subscribing.

If remote setup support is offered as an add-on service:

• You must install third-party remote access software (e.g., TeamViewer) as instructed;
• A stable internet connection and uninterrupted device access must be guaranteed during the setup process;

• Our support agent will guide you through the setup under your supervision.

We are not liable for any installation failure due to incompatible devices, denied access, insufficient permissions, or user error. You are responsible for preparing the device environment before installation.

We may periodically update the VigilKids Software and Services to introduce new features, fix bugs, improve performance, or comply with legal obligations.

• Updates may be delivered automatically or require manual installation through your Control Panel.
• You agree that we may push updates without prior notification.
• You acknowledge that failure to update the Software may limit functionality or lead to instability.

• We reserve the right to add, modify, suspend, or remove any part of the Services at any time without prior notice.
• In the event of significant service changes, we will make reasonable efforts to inform you via email or dashboard notifications.
• Continued use of the Services after changes are posted constitutes acceptance of those changes.

You agree that we are not liable for any loss or damage arising from service changes, software updates, or temporary outages unless otherwise required by law.

We want you to be satisfied with VigilKids. If you're not satisfied, we offer a limited refund policy as detailed below and in our Refund Policy .

Refunds may be granted under the following conditions:

• A technical issue prevents the Software from functioning as advertised and cannot be resolved by our Support Team;
• You submit a valid refund request within 14 days of purchase;
• Your refund request complies with the conditions stated in our Refund Policy.

Refunds will not be issued in the following scenarios:

• Failure to review the Compatibility Policy prior to purchase;
• Lack of physical access to the Target Device;
• Loss of data due to user actions or device restrictions;
• Decision not to use advanced features that require rooting/jailbreaking, despite being included in the plan;
• Subscription auto-renewal charges not canceled in time via Control Panel or Support request.

To request a refund, contact our Support Team at Support Email , and provide:

• Your Order ID;
• The reason for the request;
• Any troubleshooting steps already taken.

We reserve the right to deny refund requests that do not meet the above criteria.

We take your privacy and the security of your personal information seriously. By using the VigilantKids Services, you consent to the collection, use, and sharing of your personal data as described in our Privacy Policy .

In order to provide the Services, we may collect the following types of information:

• Account Information: Your name, email address, and any other details you provide during registration.
• Payment Information: Billing information required for payment processing, handled securely by a third-party Payment Provider.
• Device and Usage Data: Information about the Target Device, such as device type, operating system version, and usage statistics of the Software.

• Your personal information will only be used to deliver the Services, process payments, and improve our offerings.
• We will never share your personal data with third parties without your consent, except as required by law or to facilitate service delivery (e.g., through trusted partners).

• We employ reasonable security measures to protect your data, but we cannot guarantee complete security. By using the Services, you acknowledge that you understand and accept the inherent risks of online data storage and transmission.
• It is your responsibility to keep your login credentials secure. If you believe your account has been compromised, you must notify us immediately at Support Email .

VigilantKids is provided "as is" without any warranties or guarantees. To the fullest extent permitted by law, we disclaim all express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

• We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising from or in connection with your use of the Services.
• Our total liability, if any, shall not exceed the amount you paid for the subscription that directly caused the issue, for a period not exceeding six months prior to the event that gave rise to the claim.

This limitation applies even if we were advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

All content, materials, and intellectual property related to VigilantKids, including but not limited to the Software, logos, designs, images, trademarks, and text, are owned by [Your Company Name] or its licensors.

• You are granted a license to use the Software solely for its intended purpose as described in this Agreement.
• You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Software or related materials without our express written consent.
• Our logo and trademarks are protected by copyright and trademark laws. Unauthorized use of our trademarks is strictly prohibited and may result in legal action.

If you believe that we have inadvertently used your registered intellectual property, please contact us at Support Email , and we will promptly address the issue.

We may suspend or terminate your access to the VigilantKids Services if you violate this Agreement or engage in any conduct that we deem unlawful or inappropriate.

• Violation of any term of this Agreement, including unauthorized use of the Software or Services;
• Attempting to monitor devices that you do not own or have legal permission to access;
• Failure to comply with our security procedures, including account access and password protection;
• Engaging in fraudulent activities, such as providing false information during registration or payment processing.

Upon termination or suspension of your account:

• You will lose access to all data associated with your Account, including logs and information from any Target Devices.
• Any unpaid balances or outstanding charges for Services will still be due.
• You will not be eligible for any refund or reimbursement upon termination, except in cases of a valid refund request under the applicable Refund Policy.

If we terminate your account for violation of these Terms, you may not re-register or use the Services without our express permission.
